Terms of service

Rules for using Closevine

These Terms form an agreement between the customer accepting them and Leveromate, the operator of Closevine.

1. Acceptance and authority

By creating an account, accepting an invitation, connecting an Instagram account, or using Closevine, you agree to these Terms and our Privacy Policy. If you use Closevine for an organisation, you confirm that you are authorised to bind that organisation.

You must be legally able to enter this agreement and use the service for legitimate business purposes. Workspace owners are responsible for their members, roles, configuration, and use of connected accounts.

2. The service

Closevine helps businesses connect Instagram professional accounts, synchronise owned posts and reels, process comments and DMs, generate structured AI response proposals, maintain customer context, execute configured actions, support human takeover, and measure content-level outcomes.

Features may be offered in Shadow, Approval, Hybrid, or Autopilot mode. Closevine may change or discontinue a feature to comply with law, platform requirements, security needs, or product development. We will provide notice where reasonably practical and contractually required.

3. Accounts and security

You must:

  • provide accurate account and business information;
  • protect login sessions, email accounts, and administrator devices;
  • use individual accounts rather than sharing credentials;
  • grant only the permissions teammates need;
  • promptly revoke access for people who leave your organisation; and
  • notify us at support@leveromate.me if you suspect unauthorised access.

You are responsible for activity performed through your workspace unless it results from a breach of our obligations.

4. Instagram and third-party services

Closevine is an independent service and is not endorsed by or affiliated with Meta Platforms, Inc. Your use of Instagram remains subject to Meta's and Instagram's applicable terms, policies, permissions, messaging windows, review decisions, rate limits, and technical availability.

You authorise Closevine to use the permissions you approve through Instagram Login. You may disconnect an account, but disconnection may stop comment, DM, insight, and synchronisation features. You must not connect an account you do not own or have authority to manage.

Model providers, CRM systems, payment services, action endpoints, and other integrations have their own terms. You are responsible for selecting, configuring, and lawfully using those services.

5. Your data and instructions

As between you and Leveromate, you retain your rights in business knowledge, customer content, and other material you provide. You grant us the limited rights needed to host, process, transmit, secure, and display that material to provide Closevine.

For personal data that you control, you instruct us to process it only to provide, secure, support, and improve the contracted service, comply with documented settings, and meet legal obligations. You are responsible for providing required notices, establishing a lawful basis, respecting customer choices, and responding to rights requests.

6. AI output and human responsibility

AI output may be incomplete, inaccurate, inappropriate, or unsuitable for a specific customer. Structured output, authoritative knowledge checks, and deterministic policy reduce risk but do not remove the need for responsible human configuration and oversight.

You must:

  • keep products, prices, stock, policies, links, and hours accurate;
  • test agents and automations before enabling customer-facing sends;
  • begin with Shadow or Approval mode;
  • review sensitive, legal, medical, financial, complaint, refund, and payment-dispute situations with qualified people;
  • monitor the Inbox, failures, handoffs, and delivery outcomes; and
  • pause automation promptly if unsafe behavior occurs.

Closevine is not a substitute for legal, medical, financial, or other regulated professional advice.

7. Actions and external systems

You control which actions are configured, which fields they accept, where they send data, and whether customer confirmation is required. You must use approved endpoints, protect integration credentials, and verify that actions are lawful and safe.

A proposed action or link is not proof of purchase or conversion. External systems remain the source of truth for orders, payments, bookings, refunds, and delivery.

8. Acceptable use

You may not use Closevine to:

  • break a law, court order, Meta policy, or third-party right;
  • send spam, prohibited broadcasts, harassment, threats, or abuse;
  • deceive customers, impersonate people, hide material terms, or make unsupported product or health claims;
  • unlawfully discriminate or infer sensitive or protected traits;
  • collect passwords, OTPs, payment-card data, government identifiers, health data, or other unnecessary sensitive information;
  • target children unlawfully or use manipulative sales practices toward vulnerable people;
  • probe another tenant, bypass permissions, defeat rate limits, extract secrets or prompts, or interfere with the service;
  • configure an action endpoint that targets private infrastructure, metadata services, malware, or an unauthorised system; or
  • resell, reverse engineer, or copy the service except where law expressly permits it.

9. Fees and plans

Paid features, usage allowances, billing periods, taxes, renewal, and cancellation terms are shown in the applicable plan, order form, or commercial agreement. Third-party provider, Meta, messaging, and action costs may be separate. Bring-your-own-key customers still pay applicable Closevine platform fees.

If a specific commercial agreement conflicts with this section, that agreement controls for the conflicting commercial term.

10. Intellectual property and feedback

Closevine, its software, design, documentation, and branding are owned by Leveromate or its licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the service during your authorised subscription.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not publicly identify you without permission.

11. Confidentiality

Each party may receive non-public information from the other. The receiving party will use it only for the relationship, protect it with reasonable care, and disclose it only to people who need it and are bound by appropriate duties, unless disclosure is legally required.

12. Suspension and termination

You may stop using Closevine and request workspace termination subject to your plan or agreement. We may suspend or restrict access when reasonably necessary to prevent harm, investigate a security incident, comply with law or Meta requirements, address non-payment, or respond to a material breach.

Where practical, we will give notice and an opportunity to correct the issue. On termination, access ends and data is handled according to the Privacy Policy, retention settings, deletion instructions, legal obligations, and any applicable commercial agreement.

13. Availability and warranties

We work to provide a reliable and secure service, but Instagram, Meta, model providers, internet networks, and customer integrations are outside our control. The service may occasionally be interrupted, delayed, rate-limited, changed, or unavailable.

To the maximum extent permitted by law, Closevine is provided on an “as available” basis. We do not promise that every AI output will be correct, every message will be delivered, every metric will be available, or the service will meet a use case you have not disclosed and tested.

14. Liability

Each party remains responsible for obligations that cannot lawfully be excluded or limited. To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, goodwill, or data, except where a signed commercial agreement or mandatory law says otherwise.

Any monetary liability cap and exclusions applicable to a paid customer are determined by the customer's order form or commercial agreement and mandatory law. Nothing in these Terms limits liability where doing so would be unlawful.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules, unless mandatory law requires otherwise. The courts or dispute process stated in an applicable signed commercial agreement will control. If no signed agreement states one, the competent courts for the operator's principal place of business will have jurisdiction, subject to mandatory consumer or data-protection rights.

16. General terms

These Terms, the Privacy Policy, applicable order forms, and referenced policies are the agreement for Closevine. If one provision is unenforceable, the rest remains effective. A delay in enforcing a term is not a waiver. You may not assign the agreement without our consent, except as part of a permitted business reorganisation. We may assign it as part of a merger, reorganisation, financing, or sale.

We may update these Terms to reflect product, legal, security, or platform changes. We will update the date above and provide additional notice when required. Continued use after an effective update means you accept it, unless applicable law requires another form of consent.
